By accessing or using elyvo.online, elyvo.com.au, or any associated pages (together, "the Website"), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Website.

These Terms apply to all visitors, users, and prospective clients. They do not replace or limit the Client Services Agreement, which governs the commercial relationship between Elyvo and its clients.

You agree to use the Website only for lawful purposes. You must not:

• Use the Website in any way that violates applicable Australian or international laws
• Transmit unsolicited commercial communications through the Website
• Attempt to gain unauthorised access to any part of the Website or its systems
• Use automated tools to scrape, copy, or extract Website content
• Introduce malware, viruses, or other harmful code

All content on the Website — including text, graphics, logos, images, and the Elyvo brand — is the intellectual property of Joseph Esposito trading as Elyvo, protected under Australian copyright law. You may not reproduce, distribute, modify, or create derivative works from Website content without prior written consent. Nothing on the Website transfers any intellectual property rights to you.

Information submitted through our onboarding form at elyvo.online/onboarding is collected and handled in accordance with our Privacy Policy. Submission of the onboarding form does not create a binding contract. A binding agreement is only formed upon execution of a Client Services Agreement.

Active Elyvo subscribers may request a Media Moment Pack at any time by emailing hello@elyvo.online with details of an upcoming announcement, event, or milestone. The following process applies:

• The Client emails hello@elyvo.online with sufficient briefing information about the upcoming moment
• Elyvo confirms receipt and will deliver the completed pack within 24 hours
• Each Media Moment Pack is a separately invoiced transaction and is not included in the subscription fee
• The Client reviews, edits, and approves all content before publication — Elyvo is not responsible for published content
• Media Moment Packs are not subject to the subscription minimum commitment period and may be requested on an ad hoc basis

By requesting a Media Moment Pack, the Client agrees to be invoiced for the applicable fee and acknowledges that the pack constitutes AI-assisted content subject to the AI-Generated Content clause of these Terms.

Our services use artificial intelligence tools including OpenAI's GPT models to generate communications intelligence content. You acknowledge that:

• AI-generated content is a starting point and should be reviewed and adapted before use
• Elyvo does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated content
• Elyvo is not liable for any loss or damage arising from use of AI-generated content without appropriate review
• Content generated using your organisation's profile data is processed by OpenAI in accordance with OpenAI's terms and privacy policy

The Website and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Elyvo makes no representations or warranties that:

• The Website will be uninterrupted, error-free, or free of viruses
• Information on the Website is accurate, complete, or current
• The Website is fit for any particular purpose

Nothing in these Terms excludes consumer guarantees under the Australian Consumer Law that cannot lawfully be excluded.

To the maximum extent permitted by law, Elyvo's total liability to you for any claim arising from use of the Website is limited to AUD $100. Elyvo is not liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits, loss of data, or loss of goodwill.

The Website may contain links to third-party websites. Elyvo does not endorse or take responsibility for the content, privacy practices, or terms of any third-party websites. You access third-party websites at your own risk.

Your use of the Website is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We may update these Terms at any time. The current version is always available at elyvo.online/terms-and-conditions.html. Continued use of the Website after any changes constitutes acceptance of the updated Terms.

These Terms are governed by the laws of Queensland, Australia. You submit to the non-exclusive jurisdiction of the courts of Queensland for any dispute arising from these Terms or your use of the Website.
